Terms of Service

These Terms of Service govern your use of the Circulate marketplace platform. Please read them carefully before using our services.

1. Introduction

Circulate is a digital marketplace platform that connects customers with independent local businesses ("Vendors") selling products and services. Circulate itself does not manufacture, sell, ship, or take ownership of any products listed on the platform. All transactions occur directly between customers and Vendors. By accessing or using the Circulate platform, you agree to be bound by these Terms of Service. If you do not agree, please do not use our platform.

2. User Accounts

Users may create accounts to access platform features including purchasing, saving favorites, and managing orders. By creating an account, you agree to: • Provide accurate and up-to-date information during registration • Maintain the security of your account credentials • Be fully responsible for all activity that occurs under your account • Notify Circulate immediately of any unauthorized account use Circulate reserves the right to suspend or terminate accounts that provide false information or engage in prohibited activity.

3. Marketplace Role

Circulate provides a digital infrastructure where Vendors can list products or services and customers can discover and purchase them. As a marketplace platform: • Circulate does not control product quality, accuracy of listings, delivery times, or Vendor behavior • All transactions are entered into between customers and Vendors — Circulate is not a party to those transactions • Circulate does not guarantee the availability, quality, safety, or legality of products listed by Vendors • Vendors are solely responsible for their products, business operations, and customer interactions

4. Payments & Platform Fees

Payment processing on Circulate is handled through Stripe, a secure third-party payment provider. By making a purchase, you agree to Stripe's applicable terms of service. Vendor Commission Structure: Circulate charges vendors a commission of 3% of the product subtotal plus a $0.29 fixed fee per successful paid order. • Commission applies only to successful, completed paid transactions • Pending, incomplete, or cancelled payments are not charged a commission • Refunds may result in partial or full reversal of commission and vendor payouts, depending on the refund amount • Customer service fees and delivery fees are charged separately to customers to support marketplace operations and local delivery infrastructure • Circulate currently absorbs Stripe payment processing fees (2.9% + $0.30) as a platform operating cost — these are NOT deducted from vendor payouts • Vendors receive payouts directly through Stripe Connect after each successful transaction • Prices displayed are set by Vendors and may change without prior notice • Circulate is not responsible for billing errors caused by Vendors or payment processors

5. Prohibited Activities

Users of the Circulate platform may not: • List, sell, or purchase illegal products or services • Sell or purchase counterfeit or fraudulently represented goods • Post misleading, false, or deceptive listings • Harass, threaten, or abuse other users or Vendors • Attempt to hack, reverse-engineer, or disrupt the platform or its infrastructure • Use automated tools to scrape, spam, or manipulate the platform Circulate reserves the right to investigate and suspend or permanently terminate accounts found in violation of these rules.

6. Intellectual Property

The Circulate name, logo, platform design, and all associated content are protected intellectual property owned by Circulate and its licensors. • Users may not copy, reproduce, modify, or redistribute the platform or its branding without express written permission • Vendors retain ownership of their own product images and content, but grant Circulate a non-exclusive license to display that content on the platform

7. Limitation of Liability

To the fullest extent permitted by law, Circulate is not liable for: • The quality, safety, or legality of products or services sold by Vendors • Delivery failures, delays, or shipping damages • Any harm caused by products purchased through the platform • Disputes between customers and Vendors • Any indirect, incidental, or consequential damages arising from use of the platform Circulate's total liability, if any, shall not exceed the platform fees collected in connection with the specific transaction giving rise to the claim.

8. Dispute Resolution

If a dispute arises between a customer and a Vendor, both parties are encouraged to resolve the matter directly and in good faith. • Circulate may, at its discretion, assist in mediating disputes but is not obligated to do so • Circulate is not responsible for Vendor performance, product quality, or fulfillment outcomes • Any legal disputes arising from use of the platform shall be governed by applicable local law

9. Termination

Circulate may suspend or permanently terminate any user account at any time, with or without notice, for violations of these Terms of Service or conduct that Circulate deems harmful to the platform, other users, or Vendors. Users may also delete their own accounts at any time by contacting Circulate support.

10. Changes to Terms

Circulate may update these Terms of Service as the platform evolves. When significant changes are made, we will notify users via email or a prominent notice on the platform. Continued use of the platform after changes are posted constitutes acceptance of the updated terms. We encourage users to review these terms periodically. Last updated: March 2026
